Bridge for Business Foundation
Headquartered in Warsaw

Chapter I

General Provisions

§ 1

The Bridge for Business Foundation – hereinafter referred to as the Foundation – was established by:
      1. Przemysław Wojciech Janiszewski
hereinafter referred to as the “Founder,” by notarial deed dated 17.02.2022, at the Notarial Office in Warsaw, located at Jastrzębowskiego 24, unit U07, with protocol number REP. N RW47-00003-93777 before Sylwia Jagusiewucz, acting as deputy notary for Paweł Chałupczak, notary in Warsaw, and operates in accordance with the provisions of the Foundations Act of April 6, 1984 (Journal of Laws of 1991, No. 46, item 203).

§ 2

The Foundation has legal personality.

§ 3

The seat of the Foundation is Warsaw.

§ 4

The relevant Minister is the Minister of Sport and Tourism.

§ 5

1. The Foundation operates within the territory of the Republic of Poland. 2. To properly achieve its social and economic goals, the Foundation may operate both domestically and abroad.

§ 6

      1. Chapter I

        General Provisions

        § 1

        Bridge for Business Foundation – hereinafter referred to as the Foundation, established by:

        hereinafter referred to as the “Founder”, by a notarial deed dated February 17, 2022, at the Notary Office in Warsaw, located at Jastrzębowskiego 24, Unit U07, under repertory numberREP. N RW47-00003-93777 before Sylwia Jagusiewucz, notarial deputy, acting on behalf of Paweł Chałupczak, a notary in Warsaw, operates based on the provisions of the Act of April 6, 1984, on Foundations (Journal of Laws of 1991 No. 46, item 203).

        § 2

        The Foundation has legal personality.

        § 3

        The registered office of the Foundation is Warsaw.

        § 4

        The competent Minister is the Minister of Sports and Tourism.

        § 5

        1. The territory of the Foundation’s operations is the Republic of Poland. 2. For the proper realization of its social and economic goals, the Foundation may operate within and outside the borders of the Republic of Poland.

        § 6

            1. The Foundation may establish:
        – branches, departments, offices, and may also join companies and foundations.
            1. The Foundation conducts business activities.

        § 7

        The Foundation may establish badges, honorary medals, and honorary memberships and may award them along with other awards and distinctions to individuals and entities who have contributed to the Foundation’s goals.

        Chapter II.

        Foundation’s Objectives and Principles of Operation

        § 8

        The Foundation was established for the purpose of: 1. Promoting and developing bridge in business activities, including raising business awareness, skills, and habits of strategic thinking among adults, youth, and individuals with disabilities. 2. Promoting bridge as a sport accessible to all, popularizing it among adults, youth, children, and people with disabilities. 3. Supporting social, scientific, and educational activities conducted for the development of institutions operating within and beyond the territory of Poland.

        4.Activating people with disabilities by integrating them into the bridge community, showcasing bridge as a professional activity, promotingthe creation of job opportunities.

        § 10

        To achieve its goals, the Foundation may support the activities of other legal entities whose activities are consistent with the Foundation’s objectives.

        Chapter III.

        Foundation Assets and Income

        § 11

            1. The Foundation’s assets consist of the Founding Fund amounting to 12,000.00 (in words: twelve thousand zlotys) granted in the statement of intent to establish the Foundation, and assets acquired during the Foundation’s activities.
            2. From the Founding Fund, an amount of 8,000 zlotys (in words: eight thousand zlotys) is allocated for business activities.

        § 12

        The Foundation is liable for its obligations with its entire assets.

        § 13

        The Foundation’s income comes from:
            1. donations, inheritances, bequests,
            2. proceeds from collections and public events,
            3. income from immovable and movable property,
            4. income from the Foundation’s business activities,
            5. funds obtained from local to EU grants and subsidies, received from individuals, legal entities, and institutions, both domestic and foreign

        § 14

        Income from grants, donations, inheritances, and bequests may be used to achieve all Foundation goals, unless donors specify otherwise.

        § 15

        If the Foundation is appointed as an heir, the Board submits a statement accepting the inheritance with the benefit of inventory, only if, at the time of making this statement, it is clear that the active estate significantly exceeds the inherited debts.

        Chapter IV.

        Foundation Bodies and Organization

        § 16

            1. The governing body of the Foundation is the Board.
            2. The Founder may appoint themselves as President of the Foundation Board.
            3. The Founders may establish a Foundation Council.

        FOUNDATION BOARD

        § 17

            1. The Foundation Board, hereinafter referred to as the Board, consists of 5 members and is appointed by the Founders for a 3-year term by unanimous resolution.
            2. A member of the Board may be a Founder.
            3. Membership in the Board ceases upon removal or death of a board member.
            1. The position of a Board member may be held for more than one term.
            2. Removal of a Board member by the Founders occurs in the event of:
              1. submission of resignation,
              2. loss of full legal capacity due to illness, disability, or other reasons,
              3. conviction by a valid judgment for a crime involving fraud.
      2. improper fulfillment of the duties of a Board member,
      3. significant violation of the statute’s provisions,
      4. failure to obtain approval (discharge).

§ 18

      1. The Board’s activities are led by the President of the Board.
      2. Statements of intent on behalf of the Foundation are made jointly by two Board members, including the President.

§ 19

The President may appoint a Vice-President.

§ 20

The Board manages the Foundation’s operations and represents it externally, specifically:
      1. overseeing the Foundation’s assets,
      2. directing the Foundation’s ongoing activities, responsible for achieving statutory objectives and financial and operational results,
      3. preparing long-term and annual plans for the Foundation’s operations,
      4. compiling annual activity reports for the previous year, presented to the Founders’ Council annually by June 30,
      5. accepting donations, inheritances, and legacies.

§ 21

1. The Board adopts resolutions by a simple majority vote with the presence of at least half of its members. In the event of a tie, the President’s vote is decisive. 2. Voting via electronic communication means is permitted.

§ 22

1. Meetings are held as necessary, at least once per quarter. 2. Meetings are convened by the President of the Board, who sends notices via email or registered letter at least 3 days before the planned meeting. 3. All Board members must be informed of the meeting.

§ 23

1. Board members may have an employment relationship with the Foundation. 2. The Founders determine Board members’ remuneration by resolution.

§ 24

The Foundation’s business activities include:

§ 25

Financial management and accounting principles:
      1. The Foundation conducts business activities according to developed plans. Business activities should ensure full reimbursement of incurred costs, and the income is allocated for financing statutory activities.
      2. Fixed assets used in business activities are subject to amortization and depreciation according to applicable regulations.
      3. Investment decisions are made by the Foundation’s Board.

 

Chapter VII.

Amendment of the Statute.

§ 26

Changes to the Statute cannot affect the objectives defined in the founding act.

§ 27

The resolution on amending the Statute is adopted by the Founders.

Chapter VIII.

Final Provisions.

§ 28

For effective realization of its goals, the Foundation may merge with another foundation.

§ 29

The resolution on merging is adopted by the Founders unanimously.

§ 30

The Foundation is subject to liquidation in the event of failure to achieve its objectives or depletion of its financial resources and assets.

§ 31

The resolution on liquidation is adopted by the Founders through a unanimous resolution.

§ 32

The assets remaining after liquidation are transferred, with reference to Article 5(4) of the Foundations Act, to institutions whose activities align with the Foundation’s objectives, as indicated by the Founders.

§ 33

The Foundation submits an annual activity report to the relevant Minister by March 31 each year.

§ 34

The Statute comes into force upon the Foundation’s registration in the National Court Register.
